Motphys Rigidbody Physics Unity SDK License

THIS DOCUMENT DESCRIBES A CONTRACT BETWEEN YOU AND MOTPHYS HOLDINGS (CAYMAN) LIMITED AND ITS AFFILIATES ("Motphys").

  1. Definitions

    1. "Software" refers to any software or similar materials provided in the Motphys Rigidbody Physics Unity SDK, including any modules, components, features, functions, and datasets. The software includes updates and upgrades. Runtime libraries of the software are provided in object code form, rather than source code form.
    2. "Documentation" refers to the technical documentation, user documentation, and any technical or legal requirements provided by Motphys, including online, printed, or other forms of documentation.
    3. "Product" refers to the collective term for Motphys software and its accompanying documentation.
    4. "Intellectual Property" refers to all rights, both substantive and procedural, enjoyed globally for any type of intellectual labor results, according to applicable domestic laws and/or international treaties, including but not limited to: a) copyright or related neighboring rights, and database rights protected under database proprietary rights or compilation rights; b) trade names, logos, common law trademarks and service marks, internet URLs and domain names themselves, and goodwill associated with trademarks or trade names, designs, and patents; c) the rights to apply for or register any of the aforementioned rights globally and all other rights.
    5. "License" refers to the terms and conditions for use, copying, and distribution as defined in this document.
    6. "Licensor" refers to the copyright owner granting the license or an entity authorized by the copyright owner.
    7. "Licensee", "You" or "Your" refers to the individual or legal entity exercising the permissions granted by this license.
    8. "Update" refers to security fixes, hotfixes, patches, and other updates (including new features, new functions, and other modifications released between upgrades).
    9. "Upgrade" refers to new versions of the product, or add-ons, or additional products related to the product, as determined by Motphys.

  2. Motphys Proprietary Rights

    1. Ownership: The products, documentation, APIs, demo code, and other information or materials provided to you by Motphys, including any copies thereof, and all related copyrights and other intellectual property rights(including but not limited to patents, trademarks, copyrights, trade secrets, etc.), are exclusively owned by Motphys. The licensee does not obtain any ownership of the product.
    2. Proprietary Notices: The licensee shall not remove any trademarks, trade names, copyright notice, or other proprietary notice from the software or documentation and shall be responsible for the conservation of same on all copies of the software and documentation.The licensee shall maintain these statements in all cases, without modification or concealment, to ensure that Motphys's intellectual property rights are fully protected.

  3. License Grant

    1. Limited License: The licensor grants the licensee a non-exclusive, non-transferable limited license to install and use the product at the licensee’s premises, solely for the purpose of developing applications that uses and incorporates the software, and to distribute the software only within the limited scope in which it is embedded in such applications.
    2. Copies: The licensee may make a reasonable number of copies of the licensed software, provided that such copies must contain all applicable trademarks, trade names, copyright, and other proprietary notices as specified in Section 2 above.
    3. No Other Rights: Except for the licenses granted herein, the licensee does not obtain any other rights; all rights not expressly granted herein are reserved by the licensor.
    4. Term: Motphys grants you a limited license for the duration of the term of the product.
    5. Upon using the product, the licensee promises to maintain Motphys's intellectual property rights, not to infringe upon or misappropriate any rights related to the licensed software, and to immediately notify Motphys upon discovery of any infringement.
    6. You do not need to pay any fees to Motphys for using the licensed product (Motphys Rigidbody Physics Unity SDK). If you need to delve deeper into the source code, access technical support, advanced features, or project customization, please contact the Motphys business team to obtain the professional version of the software, Motphys Rigidbody Physics Unity SDK Pro.

  4. Usage Restrictions

    1. The unpublished source code, algorithms, and architectural design of the software are confidential, proprietary information, and trade secrets of Motphys. Without the prior written consent of Motphys, you shall not disclose such information to any third party. You shall not access or attempt to access the product by any means other than the interfaces provided by Motphys. You shall not decompile, disassemble, or otherwise reverse engineer, or attempt to discover, learn, or study the structure or organization, underlying algorithms, or other internals, protocols, data structures, or other externals, or the source code of the product or API.
    2. The licensee shall not copy, modify, adapt, translate, port, or create derivative works of the product in whole or in part.
    3. The licensee shall not sublicense, transfer, redistribute, transmit, sell, lease, rent, loan, or otherwise make available the product in whole or in part to any third party.
    4. The licensee shall not assign, sublicense, or otherwise transfer this license or any rights granted herein to any third party.

  5. Warranty, Disclaimer, and Limitation of Liability

    1. Limited Warranty: If the product is found to be defective, the licensee’s sole remedy is to request a new copy of the product from the licensor, which the licensor may provide or refuse at its discretion.
    2. Disclaimer: Motphys expressly disclaims any warranty that the functions contained in the software or the results of its use will meet the licensee’s requirements, or that the operation of the software will be uninterrupted or error-free. The product is provided to the licensee “as is” without any warranties of any kind, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The entire risk as to the suitability, quality, and performance of the product is with the licensee and not with the licensor. This disclaimer constitutes an essential part of this agreement.
    3. Limitation of Liability: In no event shall the licensor be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, loss of business profits, business interruption, loss of business information, data, goodwill, or other economic loss arising out of the use of or inability to use the product, even if such damages are foreseeable or Motphys has been advised of the possibility of such damages.

  6. Miscellaneous

    1. Changes to the Product : Motphys reserves the right to a) modify, discontinue, or substitute the product (including any benefits, features, functions, or support services related to the product) at any time, or b) add or modify license keys, authorizations, or other methods of controlling or measuring access to or use of the product. Motphys will make reasonable efforts to notify you of any significant changes in the applicable release notes or other product documentation.
    2. Changes to Terms: To the maximum extent permitted by applicable law, Motphys reserves the right to modify the terms of this agreement at any time. Motphys will make reasonable efforts to notify you of any changes to these terms, such as by posting notices on the product webpage. It is your responsibility to regularly check the product webpage for updates, including notices of changes to the terms.

  7. Termination

    1. If the licensee breaches any provision of this agreement, this agreement and the licenses granted under it will terminate immediately.
    2. Upon termination of this agreement and the licenses granted under it, the licensee shall cease further use of the product and must return or destroy all copies of the software and documentation in any form that they possess or control.

  8. Waiver

    1. Motphys’s failure or delay in exercising or enforcing any right granted under this agreement shall not be deemed a waiver of such right.
    2. Motphys’s waiver of pursuing a breach of this agreement shall not be deemed a waiver of any other or subsequent breach.

  9. Law and Jurisdiction

    1. This License shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of laws principles.
    2. Any dispute arising from or in connection with this agreement shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) for arbitration which shall be conducted in accordance with the CIETAC's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

    4. “知识产权”是指对于任何类型的智力劳动成果在全球范围内，根据所适用的国内法及/或国际条约享有的实体上与程序上的所有权利，包括但不限于：a) 著作权或版权及相关的邻接权，以及依据数据库专有权或汇编权进行保护的数据库权利；b) 商号、标识、普通法下的商标和服务商标、互联网网址和域名本身的权利，以及与商标或商号相关的商誉、设计和专利；c) 上述任何权利在全球范围内进行申请或登记的权利和所有其他权利。
    5. “许可”是指本文件中定义的使用、复制和分发的条款和条件。
    6. “许可方”是指授予许可的版权拥有者或由版权拥有者授权的实体。
    7. “被许可人”、“您”是指行使本许可授予的权限的个人或法律实体。
    8. “更新”是指安全修复、热修复、补丁和其他更新（包括在升级之间发布的新特性、新功能和其他修改）。
    9. “升级”是指新版本的产品，或与产品相关的附加组件或附加产品，由 Motphys 确定。

  2. Motphys 专有权利

    1. 所有权：Motphys 向您提供的产品、文档、API、演示代码以及其他信息或材料，包括上述内容的任何副本，以及所有相关版权和其他知识产权（包括但不限于专利权、商标权、著作权、商业秘密等），均归 Motphys 独占所有。被许可人不获得产品的任何所有权。
    2. 所有权声明：被许可方不得从软件或文档中删除任何商标、商品名、版权声明或其他所有权声明，并应负责在软件和文档的所有副本上保留这些声明。被许可方应在任何情况下均维护这些声明，不可修改或隐去，以确保 Motphys 的知识产权得到充分保护。

  3. 许可授予

    1. 有限许可：许可方授予被许可方一项非独占、不可转让的有限许可，允许其在被许可方的场所安装和使用产品，仅用于开发使用和整合随附软件的应用程序，并仅在嵌入此类应用程序的有限范围内分发软件。
    2. 副本：被许可方可以制作合理数量的许可软件副本，前提是此类副本必须包含上述第 2 节规定的所有适用的商标、商品名、版权声明和其他所有权声明。
    3. 无其他权利：除许可方在此授予的许可外，被许可人不获得任何其他权利或许可；未在此明确授予的权利之外的所有权利均由许可方保留。
    4. 期限：Motphys 授予您在产品期限内的有限许可。
    5. 在使用产品时，被许可方承诺维护 Motphys 的知识产权，不侵犯、不盗用与所许可软件相关的任何权利，若发现任何侵权行为应立即通知 Motphys。
    6. 您无需为使用许可产品（Motphys Rigidbody Physics Unity SDK）向 Motphys 支付任何费用。如果您需要深入了解源码、获得技术支持、使用高级功能或进行项目定制，请联系 Motphys 商务团队以获取专业版本的软件，即 Motphys Rigidbody Physics Unity SDK Pro。

  4. 使用限制

    1. 软件未公开的源代码、算法和架构设计是 Motphys 的机密、专有信息及商业秘密。未经 Motphys 事先书面同意，您不得向第三方披露此类信息。您不得通过 Motphys 提供的接口以外的任何方式访问或尝试访问产品。您不得进行任何反编译、反汇编或其他逆向工程，或以其他方式尝试发现、学习或研究产品或 API 的结构或组织、底层算法或其他内部机制、协议、数据结构或其他外部机制或源代码。
    2. 被许可方不得复制、修改、改编、翻译、移植或创建产品的全部或任何部分的衍生作品。
    3. 被许可方不得将产品的全部或任何部分再许可、转让、分发、传输、销售、租赁、出租、贷出，或以其他方式向第三方提供。
    4. 被许可方不得将本协议及本协议项下授予的任何权利转让、再授权或以其他方式转让给任何第三方。

  5. 有限保证、免责声明、责任限制

    1. 有限保证：如果产品被证实存在缺陷，被许可方的唯一补救措施是向许可方请求一份新的产品副本，许可方可自行决定提供或拒绝。
    2. 免责声明：Motphys 明确声明不保证软件中包含的功能或使用结果将满足被许可方的要求，或软件的运行将不间断或无错误。产品按“原样”提供给被许可方，不提供任何形式的担保，包括但不限于适销性、特定用途适用性和不侵权性的暗示担保。产品的适用性、质量和性能的全部风险由被许可方承担。本免责声明构成本协议的重要部分。
    3. 责任限制：在任何情况下，许可方均不对任何直接、间接、偶然、必然、特殊、惩罚性或示范性的损害、商业利润损失、业务中断、商业信息损失、数据、商誉损失或因使用或无法使用产品而导致的其他经济损失承担责任，即使该等损害是可预见的或 Motphys 已被告知有此类损害发生的可能。

  6. 其他

    1. 产品变更：Motphys 保留随时 a) 修改、终止或替换产品（包括与产品相关的任何福利、功能、功能或支持服务），或 b) 添加或修改许可证密钥、授权或其他控制或衡量访问或使用产品的方法的权利。Motphys 将尽力在适用的发行说明或其他产品文档中通知您任何重大更改。
    2. 条款变更：在适用法律允许的最大范围内，Motphys 保留随时修改本协议条款的权利。Motphys 将尽力通过在产品网页发布通知等方式通知您这些条款的任何变更。您有责任定期检查产品网页的更新，包括条款变更通知。

  7. 终止条款

    1. 如果被许可方违反本协议的任何规定，本协议及根据本协议授予的许可将立即终止。
    2. 本协议和根据本协议授予的许可终止后，被许可方应停止进一步使用产品，并且必须将其拥有或控制的软件和文档及所有副本以任何形式退还或销毁。

  8. 弃权

    1. Motphys 未能或延迟行使或执行本协议授予的任何权利，不应视为对此权利的弃权。
    2. Motphys 对追究本协议违约行为的弃权，不应视为对任何其他或后续违约行为的弃权。

  9. 法律和司法管辖权

    1. 本许可协议应受中华人民共和国法律管辖并依其解释，不考虑其法律冲突原则。
    2. 凡因本协议引起的或与本协议有关的任何争议，均应提交中国国际经济贸易仲裁委员会（贸仲），按照申请仲裁时贸仲有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
